• “Third-Party Rights” means copyrights, likeness rights, privacy rights, trademarks, moral rights, or any other rights owned by parties other than you.

• “Service” means the Mago platform and its associated AI-based video transformation and enhancement tools.

By using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a business, studio, or other legal entity, you represent that you have the authority to bind that entity to these Terms and that all users acting on its behalf will comply with them.

Beta Status Notice: Our service is currently in a closed beta phase. By using Mago, you acknowledge and accept that:

• Significant changes to functionality, interfaces, and features may occur without prior notice

• Data processing capabilities and results may evolve as we refine our technology

As a beta user, your feedback is valuable to us in improving the service. However, you agree to use the service with the understanding of its developmental nature and accept the associated limitations.

Important! Please note that any credits you purchase will remain valid for a period of one year from the date of purchase. After this period, unused credits will expire and cannot be redeemed.

When you choose to process a media file, you confirm the following:

• You have requested and reviewed the previews generated from your file(s)

• You acknowledge and accept the quality and limitations of the AI-assisted enhancement as demonstrated in the preview.

In alignment with our company's commitment to ethics and privacy:

• We do not use your uploaded files to train our AI algorithms or for any purpose other than the automated processing to which you've agreed.

• We do not share your uploaded or processed files with third parties, except for our secure providers, Amazon Web Services (AWS), Google Cloud Platform (GCP), and Scaleway, for the sole purpose of safe storage and processing.

• All Input Content and Output Content are treated as strictly confidential and are never made publicly accessible unless you intentionally choose to share them.

• Your Input Content and Output Content are never used to train, fine-tune, evaluate, or otherwise develop AI models.

• Mago also does not use Input Content or Output Content for debugging, testing, dataset creation, analytics, or performance evaluation of its models, whether directly or indirectly.

• Access to Input Content and Output Content is restricted to authorized Mago personnel solely for diagnostic or support purposes and only when strictly necessary and permitted by the user or law.

Uploaded files are stored permanently where technically possible, to ensure users have continuous access to their content. This includes source files, processed files, and final outputs.

You retain full ownership of your Input Content and, provided you own the associated intellectual property rights to the Input Content, you also retain full ownership of all Output Content generated from it. Mago does not grant users any right to upload materials they do not own or control, nor does minimal or superficial transformation through our Service create new ownership rights over third-party intellectual property.

Mago makes no representation that Output Content constitutes an original or sufficiently transformative work under applicable copyright laws. You are solely responsible for ensuring the legality of your Input Content and the lawful use of your Output Content.

Nothing in these Terms shall be interpreted as granting you any rights over third-party intellectual property merely because you process it through the Service.

Please note that all files and associated order metadata will be permanently deleted if you choose to delete your order or your account. Backup copies may persist for up to 30 days for security, fraud prevention, and disaster recovery.

Your personal data is protected under the GDPR (EU data protection regulation), regardless of your geographical location. We strictly adhere to these regulations and employ robust security measures to safeguard your data. These measures include encryption in transit and at rest, restricted access controls, logging, and standard industry security practices.Where personal or operational data is transferred outside the EU, we apply legally required safeguards such as Standard Contractual Clauses (SCCs).

In the event of a personal data breach, Mago will provide notice to affected users in accordance with GDPR Article 33 and other applicable laws.

We do not offer refunds unless there is a reasonable request due to major unexpected technical issues. If you encounter such a situation, please contact our customer support at hello@mago.studio for assistance.

Provisions outlined in this section are applicable to our style transfer and video transformation services.

We claim no rights for the content generated by our AI services. You retain full ownership of all outputs created using our platform and may use them for any purpose in accordance with these Terms of Service. Ownership of Output Content is conditional on your ownership or lawful rights to the Input Content used to create it.

All content generated with our services remains private and is not visible to the public by default.

We prohibit the use of our services for:

• Illegal activities or violations of applicable laws and regulations

• Creating content that harms, harasses, or exploits individuals, especially minors

• Generating deliberately false or misleading information intended to cause harm

• Creating content that discriminates against individuals or groups based on protected characteristics

• Producing content that could reasonably be expected to cause physical or psychological harm

• Generating material for unauthorized legal, medical, or official purposes

• Uploading Input Content that infringes copyrights, likeness rights, privacy rights, or any other Third-Party Rights

These restrictions are designed to ensure responsible use of our AI technology while allowing for legitimate creative and professional applications.

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

• Modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;

• Remove any copyright or other proprietary notations from any materials and software on this website;

• Transfer the materials to another person or "mirror" the materials on any other server;

• Knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service Mago provides;

The intellectual property in the materials contained in this website are owned by or licensed to Mago and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by Mago at any time.

You retain your intellectual property ownership rights over content you submit to us for processing and any content we've processed on your behalf. We will never claim ownership of your content, but we do require a license from you in order to use it.

When you use our website or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, modify, run, copy, enhance, or otherwise create derivative works of your content.

This license is strictly limited to the Processing necessary to operate and deliver the Service you request and does not allow Mago to train, fine-tune, test, or otherwise develop AI models using your Input Content or Output Content.

This license does not grant Mago any rights to publicly display, distribute, monetize, or use your Input Content or Output Content for internal research, dataset creation, marketing, or competitive analysis.

Therefore, you should own legal rights for the content you upload.

The license you grant us can be terminated at any time by deleting your content or account.

While we aim to provide reliable access to the Service, we do not guarantee uninterrupted or error-free operation. The Service may experience unavailability due to maintenance, updates, peak demand, external provider issues, or factors outside our control. No uptime or performance guarantees are provided unless explicitly agreed in a separate written Service Level Agreement (SLA) with an enterprise customer.

We do not guarantee delivery of Output Content within any specific timeframe. Rendering delays, queue times, or processing limitations may occur and do not constitute a breach of these Terms.

Our website and the materials on our website are provided on an 'as is' basis. To the extent permitted by law, Mago makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall Mago or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if Mago or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

Mago will provide you with prompt written notice of any claim and you will have control of the defense and settlement, except that Mago may participate with its own counsel at its own expense.

Mago shall not be liable for any failure or delay in performing its obligations under these Terms of Service where such failure or delay results from events, circumstances or causes beyond its reasonable control. These include, but are not limited to:

• Natural disasters, including floods, earthquakes, or severe weather conditions

• Fire, explosion, or accident

• Acts of war, terrorism, riot, civil unrest, or public disorder

• Actions or restrictions imposed by governmental authorities

• National or regional emergencies, including pandemics or epidemics

The AI-generated content and transformations provided by our services are created using complex algorithms that may produce varied results. Mago does not warrant or guarantee the accuracy, quality, artistic merit, or suitability for any particular purpose of AI-generated content. Results may vary based on input materials, selected parameters, and the inherent limitations of AI technology.

Users are advised to review all AI-generated content before use and exercise their own judgment regarding its suitability for their intended purposes. Mago (SAS) is not responsible for any decisions, actions, or consequences resulting from the use of AI-generated content.

Mago does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.
